Indaptus Therapeutics, Inc. has amended the terms of a previously announced private placement agreement to extend the deadline for closing the transaction.
According to the filing, the company entered into a Stock Purchase Agreement on September 8, 2026, with a group of purchasers. Under the original terms, the company agreed to issue and sell shares of its common stock for aggregate gross proceeds of approximately $24.0 million, before deducting offering expenses.
The original agreement stipulated that the closing of the transaction had to occur no later than September 29, 2026. On September 29, 2026, the company and the purchasers entered into Notices and Consents to modify these terms.
Under the new terms, the outside date applicable to each purchaser has been extended from September 29, 2026, to October 16, 2026. The Notices and Consents also allow the company to defer and coordinate the closing with the purchasers until the conditions to closing under the Purchase Agreement have been satisfied or waived, provided this occurs by the new Extended Outside Date.
Additionally, the deadline for the purchasers to fund their respective purchase prices, as well as certain related termination rights, has been extended to the Extended Outside Date. The company stated that, except as modified by the Notices and Consents, the Purchase Agreement remains unchanged and in full force and effect.
