International Business Machines Corporation (IBM) announced on October 1, 2026, that Frank Baker has been elected to the company's Board of Directors, effective immediately. Mr. Baker, 53, is a co-founder and managing partner of Siris Capital Group, LLC. Siris is a private equity firm that has deployed over $9 billion in equity capital across technology, telecommunications, and data-focused companies since its inception.

Arvind Krishna, IBM’s chairman, president, and chief executive officer, stated that Mr. Baker’s deep expertise and strategy-driven mindset will strengthen the business and help deliver value to shareholders. Mr. Baker oversees Siris’ portfolio and leads its investment strategy, focusing on established technology companies with mission-critical products and services. Prior to Siris, he served as a managing director at Ripplewood Holdings and began his career in mergers and acquisitions at Goldman Sachs. He currently serves as a trustee of the University of Chicago, chairman of the Robert & Ethel Kennedy Human Rights Center, and a trustee of Deerfield Academy.

In connection with Mr. Baker’s election, IBM amended Article III, Section 2 of its bylaws. The amendment increases the number of directors on the board to fourteen, effective October 1, 2026. The company’s compensatory arrangements for non-management directors are detailed in its Proxy Statement dated March 10, 2026.
