HWH International Inc. has entered into a Stock Purchase Agreement to acquire all issued and outstanding shares of Hearty Nova Limited from its majority stockholder, Smart Dynamics Technology Limited, for a purchase price of $1.00. The transaction was executed on September 11, 2026.

Hearty Nova Limited currently owns a 51% stake in a joint venture company in Hong Kong named China Gas Africa Clean Energy Investment Holdings Limited. The remaining 49% of the joint venture is owned by China Gas Holdings Limited. The Company anticipates investing US$1,173,000 in the joint venture through Hearty Nova Limited, with China Gas Holdings Limited contributing $1,127,000, reflecting the parties' relative ownership interests. These funds will be provided as and when required, subject to necessary approvals. The joint venture intends to develop, construct, and operate a natural gas processing plant in Nigeria, planning to borrow from non-affiliated parties to finance the remaining project expenses.

In other business developments, the Company’s Board of Directors has approved a change of the Company’s name from “HWH International Inc.” to “EnerSyn Global Inc.” The Company plans to announce the timing of this name change in the near future. The new name is intended to reflect the Company’s strategic expansion into energy sectors, including global oil and gas resources, natural gas processing, and the integration of digitalization infrastructure.

The Company also reported on its Nasdaq compliance status. Previously, the Company received a letter indicating it was not in compliance with the minimum stockholders’ equity requirement for continued listing on the Nasdaq Capital Market. To address this, the Company submitted a compliance plan in June 2026. As part of this plan, the Company closed two transactions: the sale of 250,000 shares to Alset Inc. for $500,000 on June 9, 2026, and the sale of 20,000,000 shares of common stock and warrants to Smart Dynamics Technology Limited for $10,000,000 on August 10, 2026. Following these transactions, the Company reported stockholders’ equity of $2,798,599 as of June 30, 2026, which exceeded the $2.5 million minimum requirement. Nasdaq issued a conditional compliance letter on August 28, 2026, confirming the Company meets the stockholders’ equity requirement, though the exchange noted it will continue to monitor compliance.
