House of Doge Inc. (NASDAQ: HODO) filed a Current Report on Form 8-K dated October 19, 2026, disclosing the termination of a prior trademark license and the execution of a new agreement with the Dogecoin Foundation.

The Company and its subsidiary, HOD US, entered into a Termination Agreement with the Dogecoin Foundation and MadeUpNumbers Ltd. This action terminated the Amended and Restated Trademark License Agreement dated May 7, 2025. As part of the termination, both parties agreed to cease using the licensed marks in their corporate names and those of their controlled subsidiaries by December 31, 2026. The termination is effective as of October 19, 2026.

Concurrently, HOD US entered into a Non-Exclusive Trademark License Agreement (the “New License”) with the Dogecoin Foundation and MadeUpNumbers Ltd. Under this new agreement, HOD US is granted a limited, non-exclusive, non-transferable, worldwide license to use the DOGECOIN and DOGE marks. The license is restricted to specific uses:

The New License is valid for an initial term of three years, ending October 19, 2029. HOD US will pay the Foundation a percentage of net revenue from each Licensed Product, subject to negotiation on a product-by-product basis. The initial term may be extended by mutual written agreement. The agreement is governed by Texas law.

In addition to the trademark agreements, the filing details an Asset Transfer Agreement with Dogecoin Labs Inc. (doing business as Dogecoin Labs). Under this agreement, HOD US will transfer specified assets related to the Such App mobile application to Dogecoin Labs. In exchange, HOD US will receive a fixed number of shares of Dogecoin Labs common stock valued at $4,000,000, based on a fully diluted pre-money valuation of $120,000,000 for Dogecoin Labs. The transaction is subject to customary closing conditions, including the transfer of key assets and the absence of an Insolvency Event.
