Host Digital Inc. (NYSE American: HOST) announced on October 20, 2026, that its board of directors has unanimously approved a stock repurchase program. Under this authorization, the company may repurchase up to $15 million of its outstanding Class A common stock over a one-year period. The program began on October 19, 2026, and is set to expire on October 19, 2027.

The company stated that the decision reflects the board's confidence in the company's long-term strategy and its belief that the current market price does not fully reflect the value of its business. The board indicated it intends to repurchase shares when it believes the market price is undervalued, while continuing to prioritize the financing and delivery of its contracted data center projects.

Host Digital highlighted its first project, Site I in northeast Oklahoma, which is an energized facility with 55 megawatts of gross power and 43 MW of critical IT load. The site is leased under a 15-year take-or-pay agreement representing approximately $1.25 billion in base-term contracted revenue. The company is targeting delivery to its tenant in the first quarter of 2027 and is pursuing the acquisition of a second energized and leased site in the same region.

The company noted that it does not expect to commence repurchases until it is in an open trading window. Purchases may be made through open market transactions, Rule 10b5-1 trading plans, privately negotiated transactions, or structured transactions arranged through investment banks. The timing, method, price, and volume of any repurchases will be at the company's discretion and will depend on factors such as liquidity, capital requirements, development expenditures, and prevailing market conditions.
