Healthcare Services Group, Inc. (HCSG) announced on October 6, 2026, that it has entered into a definitive agreement to acquire NEXDINE Hospitality. The target company, NexDine, LLC and Xendella, LLC, is a privately held operator of dining and hospitality services with a focus on the senior living market.

Under the terms of the Membership Interest Purchase Agreement, HCSG will acquire all outstanding equity interests of NexDine Hospitality. The aggregate purchase price is approximately $93.5 million, subject to customary adjustments. The transaction also includes potential contingent consideration payable upon the achievement of specific performance conditions following the closing.

HCSG funded the cash consideration required at closing using cash on hand. Following the acquisition, NexDine will operate as a wholly-owned subsidiary of HCSG. The company will retain its existing brand identity and will remain headquartered in Mansfield, Massachusetts. The current leadership team, including Founder and CEO David Lanci, will continue to lead the organization.

In a statement regarding the deal, Ted Wahl, President and CEO of HCSG, noted that the acquisition represents a significant milestone as the company expands its footprint into the senior living and hospitality-driven care markets. David Lanci echoed this sentiment, describing the combination as an exciting new chapter for NexDine.

The company stated that the transaction is expected to contribute over $150 million in annual revenue. HCSG is a leader in managing Environmental and Dietary services within the healthcare industry and has over 50 years of operational experience.
