Health Catalyst, Inc. (Nasdaq: HCAT) has announced a leadership transition effective September 14, 2026. The Board of Directors has appointed Simeon Kohl as the Company’s Chief Executive Officer, President, and principal executive officer. Mr. Kohl will also serve as a Class III director on the Board, filling a vacancy created by the resignation of outgoing CEO Ben Albert.
Mr. Kohl, age 59, most recently served as Chief Client Officer of Machinify, Inc. from October 2025 until July 2026. Prior to that, he was the Chief Executive Officer and a board member of Performant Healthcare, a publicly traded company, from May 2023 until October 2025. Mr. Kohl led Performant through a strategic transformation that culminated in its sale to Machinify for approximately $670 million.
In connection with his appointment, Mr. Kohl entered into an offer letter dated September 4, 2026. Under this agreement, his base salary is set at $600,000. He is eligible for an annual bonus with a target amount equal to 100% of his base salary. The Company plans to grant him 2,747,385 restricted stock units (RSUs) as part of his compensation package, with 915,975 RSUs vesting on September 4, 2027, and the remainder vesting in eight approximately equal quarterly installments.
Simultaneously, the Company accepted the resignation of Ben Albert as CEO, President, and Board member, effective September 13, 2026. The resignation was not the result of any disagreement with the Company regarding operations or policies. Mr. Albert will transition to the role of Chief Business Officer, effective September 14, 2026. His offer letter specifies a salary of $415,000 and an annual bonus structure for the fiscal year ending December 31, 2026, which includes a calculation based on his time served in various executive roles.
The Board also adopted the Health Catalyst, Inc. 2026 Employment Inducement Incentive Plan on September 4, 2026. This plan reserves 2,747,385 shares of common stock for issuance to eligible employees and is intended to comply with Nasdaq inducement award exceptions.
