HCW Biologics Inc. has entered into an Exclusive Distribution Agreement with Akron Biotech to commercialize its molecule, HCW11-006. The agreement, dated September 4, 2026, grants Akron the rights to distribute the product for use as a reagent in cell therapy manufacturing and other ex vivo applications, excluding the People’s Republic of China. The term of the agreement is five years, subject to earlier termination for cause or by HCW Biologics for convenience.
Under the terms of the deal, the closing is contingent upon the satisfactory completion of due diligence and product testing, with a deadline of November 30, 2026. Upon closing, the parties intend to execute a Supply Agreement within 60 days. This agreement includes advance payments of $200,000 at closing, $100,000 within 30 days of the Supply Agreement's execution, and $100,000 on the first and second anniversaries of the closing date. Additionally, Akron is obligated to make quarterly payments for technical support.
HCW11-006 is a multi-cytokine fusion molecule designed to support the production of highly functional human CAR-T cells. According to the company, preclinical studies indicate that CAR-T cells manufactured using HCW11-006 exhibit strong anti-tumor activity and enhanced antiviral potency. The molecule is intended to replace conventional methods that rely on anti-CD3/CD28/IL-2 activation, potentially lowering the cost of CAR-T manufacturing.
A Material Transfer Agreement will be executed to allow Akron to perform further due diligence and evaluate the Product. If the Distribution Agreement is terminated by HCW Biologics for convenience, the company has committed to continue supplying the Product to support existing Akron customers to ensure a seamless transition.
