Hamilton Lane Incorporated announced a leadership transition on October 12, 2026, effective immediately. The Board of Directors appointed Hartley R. Rogers as Co-Chief Executive Officer, effective October 12, 2026. He will serve alongside Juan Delgado-Moreira, who has held the position of Co-Chief Executive Officer since January 1, 2024. Mr. Rogers will also retain his role as Chairman of the Board, while stepping down from the position of Executive Co-Chairman.
In conjunction with this change, Erik R. Hirsch is transitioning from Co-Chief Executive Officer to the newly created role of Executive Co-Chairman. Mr. Hirsch will focus on leading strategic initiatives to drive the firm’s long-term growth. He will continue to serve as a member of the Board of Directors and remains a public face for the company, including speaking on earnings calls and media appearances.
Mr. Rogers has served on the Hamilton Lane Board of Directors since 2004. The company noted that he has played a significant role in investing, client relationships, and organizational development. Mr. Hirsch has worked at the firm for over 25 years, previously serving as Chief Investment Officer and Vice Chairman.
Regarding compensation, Hamilton Lane stated that no new arrangements were entered into with Mr. Rogers for his new role. However, the Board approved changes to Mr. Hirsch’s compensation. These changes include the acceleration of vesting for certain outstanding and unvested restricted stock awards, carried interest awards, and bonus amounts upon termination without cause or resignation for good reason. Additionally, the company will provide Mr. Hirsch with a new cash incentive award tied to future strategic technology investments. The company expects to enter into a side letter reflecting these changes, which will be attached as an exhibit to its Quarterly Report on Form 10-Q for the fiscal quarter ending September 30, 2026.
