The Hain Celestial Group, Inc. has entered into a definitive agreement to sell its International business to entities affiliated with the private equity firm AURELIUS. The transaction, valued at approximately $323.2 million, involves the sale of operations in the United Kingdom, Ireland, and Europe.
Under the terms of the Share Purchase Agreement, the Purchasers will acquire the entities operating the International business. The portfolio includes well-known brands such as Ella’s Kitchen baby and kids foods, Joya and Natumi plant-based beverages, Hartley’s jelly, and soups from Cully & Sully, Yorkshire Provender, and New Covent Garden.
The gross sale price for the transaction is set at £233.0 million, with an additional locked box amount of approximately £5.5 million expected to be paid at closing. After accounting for transaction expenses and taxes, Hain Celestial expects to realize net cash proceeds between $305.0 million and $310.0 million. The company stated that it intends to use these proceeds to reduce its indebtedness.
Closing the transaction is contingent upon regulatory approvals from authorities in the United Kingdom, Austria, Ireland, Germany, and Belgium. Additionally, the company must enter into an amendment to its credit agreement by October 12, 2026, to extend the maturity date of its debt, which is currently set for December 22, 2026. If the credit agreement amendment is not finalized by that date, the Purchasers may terminate the agreement.
The deal is expected to close in the Company’s fiscal second quarter ending December 31, 2026. Upon completion, Wolfgang Goldenitsch, the Company’s President of International, will cease to be an executive officer.
