H.B. Fuller Company announced the appointment of R. Jeffrey Bailly to its Board of Directors, effective September 23, 2026. In connection with this appointment, Ruth S. Kimmelshue notified the Company of her resignation from the Board, effective immediately. The Company stated that Ms. Kimmelshue’s retirement is not the result of any disagreement with the Company regarding its operations, policies, or practices.
R. Jeffrey Bailly, age 64, has been elected as a Class I director for an initial term expiring at the Company’s 2027 annual meeting of shareholders. He has also been appointed to serve on the Audit Committee and the Compensation Committee of the Board. Mr. Bailly most recently served as Executive Chairman of the Board of UFP Technologies, Inc., a contract development and manufacturing organization, a position he has held since June 2026. Previously, he served as Chief Executive Officer of UFP Technologies from 1995 to 2026 and as Chairman of the Board from 2006 to 2026.
Mr. Bailly brings over three decades of executive leadership experience, including business transformation, mergers and acquisitions, manufacturing, and medical technology. During his tenure as CEO of UFP Technologies, the company expanded through more than 20 acquisitions, including a transformative 2018 acquisition of Dielectrics. The Company noted that during this period, UFP Technologies’ revenue grew approximately 20-fold, while its profitability and market capitalization grew more than 150-fold.
In connection with his service as a director, Mr. Bailly will receive an annual cash retainer of $100,000 and an initial grant of 1,300 restricted stock units. Directors are also eligible for an annual discretionary grant of deferred phantom stock units valued at $165,000.
