Gyre Therapeutics, Inc. announced on October 16, 2026, that it has entered into new employment agreements to retain its current leadership team. The company confirmed that Ying Luo, Ph.D., will continue to serve as Chief Executive Officer, and Thomas Eastling will continue to serve as Chief Financial Officer.

Under the agreement with Dr. Luo, his base salary is set at $500,000 per year. For 2026, the company has set a target annual bonus of $150,000, which will be determined by the Board of Directors or the Compensation Committee. Dr. Luo is also eligible to participate in the company’s standard employee benefit plans.

The agreement details severance terms for Dr. Luo. If he is terminated without cause or resigns for good reason, and he signs a release of claims, he is entitled to six months of his base salary, twelve months of COBRA health insurance coverage, and accelerated vesting of equity awards scheduled to vest within one year of termination. These benefits are enhanced during a change of control, where he would receive a lump sum payment equal to his annual base salary and target bonus, along with accelerated vesting of all outstanding equity awards.

Separately, Gyre entered into an employment agreement with Thomas Eastling to continue his role as CFO. Mr. Eastling’s annual base salary is $339,066, with a target annual bonus of $70,000 for 2026. Like Dr. Luo, he is eligible for standard employee benefits.

The severance terms for Mr. Eastling mirror those of Dr. Luo. In the event of a termination without cause or resignation for good reason, he is entitled to six months of salary, twelve months of COBRA coverage, and accelerated vesting of equity awards. Upon a change of control, he would receive a lump sum payment equal to his annual salary and target bonus, along with accelerated vesting of all outstanding equity awards.
