GrabAGun Digital Holdings Inc. (NYSE: PEW) announced the completion of its acquisition of Camfour LLC on October 26, 2026. The transaction involved converting Camfour Holding, Inc. from a Massachusetts corporation to a Texas limited liability company and acquiring 100% of its issued and outstanding membership interests.
Camfour is a wholesale distributor of firearms, ammunition, and outdoor products that serves independent retailers with wholesale ordering, sales coverage, and business-to-business credit. The company generated audited net revenue of approximately $77.4 million in the fiscal year ended December 31, 2025.
Under the terms of the Membership Interest Purchase Agreement, the aggregate purchase price for the acquisition was approximately $34.0 million. The payment was made entirely in cash and was funded using cash on hand, with no external financing or equity issuance required.
The purchase price is subject to customary adjustments for net working capital, closing indebtedness, closing cash, and transaction expenses. Additionally, $1.19 million was placed in a retainage escrow, $1.7 million in an indemnity escrow, and an accounts receivable escrow was established for unpaid invoices under non-standard payment terms. These escrow amounts are to be released based on adjustments and indemnification obligations following the closing.
GrabAGun stated that Camfour will continue to operate as a separate business, preserving its dealer and manufacturer relationships. The company plans to integrate its proprietary technology, AI, and data analytics into Camfour’s operations to improve purchasing, inventory management, and distribution efficiency.
GrabAGun is scheduled to report its third quarter 2026 financial results on November 12, 2026, and will host a conference call to discuss the acquisition.
