Golden Minerals Company announced leadership changes on October 1, 2026, effective immediately. The Board of Directors appointed Keith Laskowski as Executive Vice President of Exploration. Concurrently, the Company appointed Barbara Henderson as Corporate Secretary. Both appointments are effective October 1, 2026.

Keith Laskowski, age 70, is an Economic and Mining Geologist with over 45 years of experience. He is the owner of Yellowstone Geological Services LLC. Mr. Laskowski previously served as Vice President – Geology at Sandstorm Gold Royalties from February 2015 to November 2025. He also held positions at the World Bank’s International Finance Corporation, Estrella Gold Corp, Eurasian Minerals, and Newmont Mining Corporation. He holds a Master of Science in Economic Geology from the Colorado School of Mines and a Bachelor of Arts in Geology from the University of Maine.

Barbara Henderson is a mining governance and communications leader with 35 years of public company experience. She holds a B.Sc. in Earth Sciences from the University of Waterloo and an M.Sc. in Economic Geology from the University of Alberta. She is a registered Professional Geologist and a member of the Canadian Investor Relations Institute.

In connection with his appointment, Mr. Laskowski entered into a consulting agreement with Yellowstone Geological Services LLC. The agreement has an initial term of three years ending September 30, 2029, subject to termination with 30 days’ prior written notice. The Company will pay Yellowstone a monthly fee of $20,000. Additionally, Mr. Laskowski received an award of 600,000 restricted stock units (RSUs) under the Company’s Amended and Restated 2023 Equity Incentive Plan. These RSUs will vest in three equal tranches on October 1, 2027, 2028, and 2029, provided the Consulting Agreement remains in effect. He is also eligible to receive a bonus stock award of 400,000 shares if the Company’s stock price exceeds $2.00, as measured by a 30-day volume-weighted average price, prior to September 30, 2029.

The Company also reported the resignation of Director Pablo Castanos effective September 30, 2026. The resignation was not the result of a disagreement with the Company regarding operations, policies, or practices. As of September 4, 2026, David Watkins, a Director, assumed the role of President and CEO following the resignation of Mr. Castanos from his positions of President and CEO and Director.
