General Motors Financial Company, Inc. (GM Financial) has closed a public offering of debt securities, raising $1.25 billion in aggregate principal amount. The company issued 5.600% senior notes due 2029 under a shelf registration statement that became effective on December 5, 2025.
The offering was completed on October 30, 2026, pursuant to an underwriting agreement dated October 27, 2026. The underwriters for the transaction include Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC, Lloyds Securities Inc., RBC Capital Markets, LLC, and Scotia Capital (USA) Inc.
According to the filing, the net proceeds from the sale are estimated to be approximately $1.24 billion, after deducting underwriting discounts and estimated offering expenses. The company stated that these funds will be added to its general funds and will be available for general corporate purposes.
The notes are unsecured senior obligations issued under an indenture dated October 13, 2015, with Computershare Trust Company, N.A., serving as trustee. The notes will bear interest at a rate of 5.600% per annum, payable semi-annually on April 30 and October 30 of each year, beginning April 30, 2027. Interest accrues from October 30, 2026.
The notes will mature on October 30, 2029, unless earlier redeemed. The indenture allows the company to redeem the notes at its option at any time prior to maturity. The redemption price is determined as the greater of 100% of the principal amount or the present value of the remaining payments, discounted at the applicable U.S. Treasury rate plus 15 basis points.
The indenture includes covenants that limit the company's ability to sell assets or merge, and it prohibits the granting of liens to other creditors unless the notes are secured on an equal basis. The filing also notes customary events of default, including non-payment and bankruptcy, which could allow the trustee or holders of at least 25% of the outstanding notes to declare the principal amount immediately due.
