GlobalTech Corporation filed a Current Report on Form 8-K with the Securities and Exchange Commission on September 17, 2026, to disclose an update on its planned uplisting to the Nasdaq Capital Market. The filing confirms that the Company’s application to list its common stock on Nasdaq remains under review by the exchange. As of the filing date, GlobalTech has not received approval for the listing and does not currently meet Nasdaq’s initial uplisting requirements.
The Company stated that management believes a Nasdaq listing could broaden the shareholder base, increase visibility among institutional and retail investors, and improve trading liquidity. Management also indicated that access to a larger investor base could expand future financing options to support the commercialization of its AI, data, and software platforms.
In preparation for the potential listing, the Company completed a 1-for-3 reverse stock split, which was effective August 27, 2026. Following the split, the stock is temporarily trading under the symbol “GLTKD” for 20 trading days through September 24, 2026. The Company expects the symbol to revert to “GLTK” on September 25, 2026. Globaltech intends to retain the “GLTK” symbol upon a Nasdaq listing, subject to availability and exchange requirements.
Additionally, the Company is strengthening its corporate governance structure. The Board has approved the formation of three committees: Audit, Compensation, and Nominating and Corporate Governance. Implementation of these committees is underway to strengthen oversight, accountability, and financial reporting ahead of a potential Nasdaq listing.
Management remains hopeful of completing the uplisting in the fourth quarter of 2026. However, the filing notes that completion remains subject to Nasdaq approval, satisfaction of all applicable listing standards, market conditions, financing requirements, and other customary conditions, with no assurance regarding the timing or completion of the uplisting.
