Global Partners LP has entered into a new amendment to its credit agreement, extending the maturity date of its revolving credit facility to October 16, 2031. The agreement, known as the Twelfth Amendment to Third Amended and Restated Credit Agreement, was executed on October 16, 2026.
The amendment modifies the terms of the Existing Credit Agreement, originally dated April 25, 2017. Under the new terms, the maturity date has been extended from March 20, 2028 to October 16, 2031. The amendment also adjusts the commitments for working capital and revolving credit facilities. The Aggregate WC Commitment remains at $1.0 billion, and the Aggregate Revolver Commitment remains at $500 million. However, the previously extended Aggregate WC Interim Commitment has been reduced to $0.
Additionally, the Twelfth Amendment allows for the assignment of all or a portion of certain lenders' loans and commitments to other new and/or existing lenders who wish to assume them. The filing indicates that all other material terms of the Credit Agreement remain unchanged from those disclosed in the Partnership's Annual Report on Form 10-K for the year ended December 31, 2025.
