Global Innovative Platforms Inc. (GIPL) announced on October 1, 2026, that its Board of Directors has appointed David R. Wells as the company's Fractional Chief Financial Officer (CFO). Mr. Wells, age 64, has also been designated as the company's principal financial officer and principal accounting officer. The appointment is effective immediately.

Mr. Wells will provide his services through Atlas Bookkeeping, LLC, a Nevada limited liability company he owns and controls. Under a Services Agreement entered into on October 1, 2026, Atlas provides the Company with a range of financial services. These include bookkeeping and accounting, maintenance of accounting records and general ledger, monthly financial statement preparation, SEC reporting support, and CFO advisory services such as financial planning and cash flow modeling.

The Company pays Atlas a recurring fee of $8,000 per month, or $96,000 annually. The Services Agreement has no fixed term and can be terminated by either party with 30 days' prior written notice. Mr. Wells will not receive direct compensation from the Company; his role is fulfilled through his ownership of Atlas.

Mr. Wells brings more than 30 years of experience in finance and operations, primarily within the medical device and technology sectors. His previous roles include serving as Chief Financial Officer of Envoy Medical, Inc. (Nasdaq: COCH) from August 2023 to May 2025, and as a member of the Board of Directors of HeartSciences, Inc. (Nasdaq: HSCS) since December 2022.

In connection with the appointment, Andrew Brown, the company's Chief Executive Officer, will cease to serve as principal financial officer and principal accounting officer. Mr. Brown will continue to serve as CEO and a member of the Board of Directors. The filing notes that this change in designation did not result from any disagreement with the Company on matters relating to operations, policies, or practices.
