Global Asset Management Group, Inc. (GAMG) announced the completion of an acquisition and the creation of a new series of preferred stock on August 28, 2026. The company’s wholly owned subsidiary, Sustainable Properties, LLC, entered into a Stock Purchase Agreement on August 18, 2026, to acquire all issued and outstanding shares of G & O Landscaping, Inc. (G&O). The transaction closed on August 26, 2026, making G&O an indirect wholly owned subsidiary.
The total purchase price for G&O was stated at $1,820,000. No cash was paid to the Sellers, Paul M. Gendron and Sherri L. Gendron, at closing. Instead, the consideration consisted of 840,000 restricted shares of GAMG common stock, with 420,000 shares issued to each Seller, and a secured Convertible Promissory Note issued on August 31, 2026, in the original principal amount of $980,000.
The Convertible Promissory Note bears simple interest at 6.00% per annum and matures on August 31, 2029. The principal amount is subject to reduction by actual refinancing proceeds paid to the Sellers. Beginning six months after issuance, the holders may convert the Note into shares of common stock at a price equal to 85% of the 30-day volume-weighted average price of the stock. The Note is secured by a pledge of 100% of the outstanding shares of G&O owned by Sustainable Properties, LLC.
In other business, the Company filed a Certificate of Designation with the Secretary of State of Wyoming on September 2, 2026, establishing a series of preferred stock designated as Series A Preferred Stock. The series consists of 50,000 authorized shares. The holders of this preferred stock are entitled to a liquidation preference of $0.01 per share and are not entitled to receive dividends. The shares are convertible at the Company's option into 2,500 shares of common stock and carry 2,500 votes per share on matters submitted to a shareholder vote.
Additionally, the Company announced personnel changes effective September 3, 2026. Andy Roiniotis was promoted to Chief Operating Officer, while Phil Kang was promoted to Chief Investment Officer. Both executives were existing officers of the Company and will continue in their previous roles of Chief Marketing Officer and Chief Investment Officer, respectively.
