Getty Images Holdings, Inc. has entered into a debtor-in-possession (DIP) credit agreement to support its Chapter 11 bankruptcy proceedings. The agreement, signed on October 23, 2026, establishes a senior secured super-priority term loan facility with a total principal amount of up to $143.0 million.
The facility is structured into three components: $85.0 million in Interim DIP Term Loans drawn upon the approval of the Bankruptcy Court, $28.0 million in Final Term Loans to be drawn upon final court approval, and $30.0 million in Delayed Draw Term Loans available in up to five draws. As of the filing date, Getty Images has drawn the $85.0 million interim portion.
Proceeds from the loan will be used to cover costs related to the bankruptcy process, fees, and general corporate purposes. The loan is secured by liens on substantially all assets of the company and its subsidiaries, including specific foreign equity interests and a segregated account for the loan proceeds. The facility matures on January 31, 2027, or upon the effective date of the company's reorganization plan.
According to the filing, the company previously entered into a restructuring support agreement on October 12, 2026, and filed voluntary petitions for Chapter 11 in the United States Bankruptcy Court for the District of Delaware on October 21, 2026. The filing notes that trading in the company's securities during the bankruptcy process is highly speculative, and under the proposed plan, all existing common stock and equity interests will be cancelled.
