Genpact Limited announced the appointment of Sumita Pandit as its new Senior Vice President and Chief Financial Officer, effective September 9, 2026. Ms. Pandit, age 49, succeeds Michael Weiner, who will step down as CFO on September 8, 2026, to remain with the company in a transitional capacity through March 31, 2027. The filing states that Mr. Weiner’s departure is not due to disagreements regarding accounting principles or internal controls.

Ms. Pandit joins Genpact from Radian, where she served as President and Chief Financial Officer from April 2025 until February 2026. Her previous experience includes serving as Chief Operating Officer of dLocal from 2021 to 2023 and holding Managing Director positions at J.P. Morgan Chase & Co. from 2015 to 2021. She also served on the board of Pushpay Holdings Limited from October 2021 to May 2023.

The company entered into an employment agreement with Ms. Pandit on September 3, 2026. Under the terms of the agreement, she is entitled to an annual base salary of $750,000 and an annual performance bonus with a target of 120% of her base salary. Additionally, she is eligible for a one-time bonus of $3,000,000, payable in two tranches of $400,000 in December 2026 and $2,600,000 in December 2027, subject to satisfactory performance.

Ms. Pandit will also receive two equity awards under the company’s 2017 Omnibus Incentive Compensation Plan. These include a 2026 performance share unit (PSU) award and a restricted share unit (RSU) award, each with a target value of $2,675,000 based on the closing price of a common share on the grant date. The RSUs will vest in three equal annual installments over three years. The agreement includes severance provisions and a "best pay" provision under Internal Revenue Code Section 280G to mitigate excise taxes.
