GameStop Corp. has filed a Current Report on Form 8-K to announce that warrants to purchase the company’s Class A common stock will expire on October 30, 2026. According to the filing, these warrants were previously distributed to holders of record on October 7, 2025. The expiration applies to holders of the company’s 0.00% Convertible Senior Notes due 2030 and 0.00% Convertible Senior Notes due 2032.
Each warrant is currently exercisable for one share of Class A common stock at a price of $32.00 per share in cash. Warrants that are not exercised by the expiration deadline will become worthless. As a result of the expiration, the warrants will cease trading on the New York Stock Exchange under the symbol “GME WS” before the markets open on October 30, 2026.
The NYSE has confirmed to the company that it intends to file a Form 25 with the Securities and Exchange Commission to effect the delisting of the warrants and the deregistration of the warrants under Section 12(b) of the Securities Exchange Act of 1934. The company’s Common Stock will continue to trade on the NYSE under the symbol “GME.”
In an accompanying press release, GameStop advised holders to contact their broker or the company’s transfer agent, Computershare, to confirm exercise instructions. The company noted that brokers may impose earlier deadlines. To accommodate holders who cannot deliver the physical warrants by the deadline, the company will permit the use of a Notice of Guaranteed Delivery for Exercise of Warrants. Holders using this notice must submit the notice and pay the $32.00 exercise price before 5:00 p.m., New York City time, on October 30, 2026, but will have until 5:00 p.m., New York City time, on November 2, 2026, to deliver the warrants.
