Franklin Electric Co., Inc. has entered into a definitive agreement to acquire Challenge Pumps Holdings Pty Ltd, a manufacturer and service provider of underground mine dewatering pumps and engineered pumping systems. The transaction, executed on October 27, 2026, involves Franklin Electric (Australia) Pty Ltd, a wholly-owned subsidiary of Franklin Electric, purchasing all outstanding capital stock of Challenge Pumps.

Under the terms of the Share Sale and Purchase Agreement, Franklin Electric will provide an aggregate cash payment of approximately AUD $259 million (approximately $181 million USD). This amount is subject to customary purchase price adjustments. Additionally, the agreement includes a cash earnout provision of up to AUD $20.0 million (approximately $14 million USD). This contingent consideration is tied to the achievement of specified targets during a measurement period ending in July 2027, with no payout if performance falls below a defined base threshold.

The acquisition is expected to close in 2026, contingent upon the completion of Challenge Pumps’ annual audit and the satisfaction of other customary closing conditions, including the receipt of required third-party consents.

Challenge Pumps is headquartered in Perth, Western Australia, and specializes in underground mine dewatering solutions. The company generated approximately US$52 million (A$73 million) in revenue and US$18 million (A$26 million) in EBITDA for FY2026 (ending June). Over the past three years, more than 55% of the company's revenue has been derived from recurring aftermarket parts and services.

Franklin Electric intends to fund the acquisition using a combination of cash on hand and borrowings under its existing credit facilities. Following the close of the transaction, Challenge Pumps is expected to be reported within Franklin Electric’s Water Systems segment and will continue to operate under the Challenge Pumps brand.
