Fractyl Health, Inc. has filed a Certificate of Amendment to its Amended and Restated Certificate of Incorporation with the Secretary of State of Delaware to effect a one-for-twelve (1-for-12) reverse stock split of its outstanding common stock. The amendment was filed on September 30, 2026, and will become effective at 5:00 p.m. Eastern Time on October 2, 2026.
The reverse stock split will combine every twelve (12) shares of issued and outstanding common stock into one (1) share, without any change to the par value per share. The split will affect all shares of common stock outstanding immediately prior to the effective time of the amendment. As a result of the split, proportionate adjustments will be made to stock options, restricted stock unit awards, and warrants. This includes a proportionate decrease in the number of shares reserved for issuance and a proportionate increase in the exercise price for all outstanding stock options.
The company has indicated that no fractional shares will be issued as a result of the reverse stock split. Stockholders of record who would otherwise be entitled to a fractional share will receive a cash payment in lieu of that share. The reverse stock split will affect all stockholders proportionately and will not alter any stockholder’s percentage ownership of the company, except in cases where a fractional share would result.
Fractyl Health’s common stock is scheduled to begin trading on The Nasdaq Global Market on a split-adjusted basis when the market opens on October 5, 2026. The new CUSIP number for the company’s common stock following the reverse stock split is 35168W202.
