Fox Corporation Announces Departure of Chief Legal and Policy Officer and Appoints New General Counsel

Fox Corporation announced on October 19, 2026, that Adam Ciongoli will step down as Chief Legal and Policy Officer effective December 1, 2026. Concurrent with this change, Mr. Ciongoli will transition to serve as a special advisor to the Company for an eighteen-month period, commencing December 1, 2026.

In connection with Mr. Ciongoli’s departure, Fox Corporation and Mr. Ciongoli entered into a Transition and Separation Agreement. Under this agreement, Mr. Ciongoli will receive a separation payment equal to one year of his annual base salary plus his target annual bonus for fiscal year 2027. He will also receive Company-paid COBRA coverage through June 1, 2028, or until eligible for coverage from a subsequent employer. Additionally, Mr. Ciongoli’s outstanding equity awards were cancelled in exchange for a cash payment of $12,595,784. His vested stock options will remain exercisable for three years following the separation date.

Separately, Fox Corporation entered into an Advisory Services Agreement with Mr. Ciongoli. Under this agreement, he will provide assistance and advice regarding legal, policy, and regulatory matters for an eighteen-month term. Mr. Ciongoli will receive an annual consulting fee of $1,750,000, payable in monthly installments of $145,833.33.

The Company also announced the appointment of Nicholas Trutanich as General Counsel effective December 1, 2026. Mr. Trutanich currently serves as Executive Vice President and Principal Deputy General Counsel at Fox Corporation. His base salary will be $1,400,000, with a target annual bonus of $1,400,000. He is also eligible to participate in the Fox Corporation 2019 Shareholder Alignment Plan, with an annual target award of $2,200,000. Mr. Trutanich previously served as the United States Attorney for the District of Nevada and joined Fox Corporation in 2021 as Chief Ethics & Compliance Officer.

Effective December 1, 2026, Kristopher Jones, Executive Vice President and Head of Government Relations, will report directly to John Nallen, President and Chief Operating Officer.
