First Mid Bancshares, Inc. (NASDAQ: FMBH) has entered into an amendment to its Registration Rights Agreement. The filing, dated October 16, 2026, details an agreement between the Company, EPL LINCO Trust, and PL Generations LLC.
The amendment, titled Amendment No. 2 to Registration Rights Agreement, modifies the terms established in the original agreement signed on February 22, 2021. That original agreement was executed in connection with the Company's acquisition of LINCO Bancshares, Inc., involving the issuance of shares of common stock to the Trust.
Under the original terms, the Company filed an S-3 registration statement (File No. 333-254205) for the resale of these shares, which was declared effective on August 9, 2021. The Company agreed to keep this registration statement effective for three years following its effectiveness. An earlier amendment, signed on August 7, 2024, extended this effective period until August 7, 2027.
The new amendment modifies the definition of “Permitted Transferee” to include PL Generations. It stipulates that if the Trust transfers shares to PL Generations in accordance with the Registration Rights Agreement, PL Generations will become a “Holder” under the agreement for those specific shares.
The filing notes that J. Kyle McCurry, a director of First Mid Bancshares, Inc. and First Mid Bank & Trust, is affiliated with both the Trust and PL Generations.
