Faraday Future Intelligent Electric Inc. (FFAI) has entered into a definitive agreement to sell its robotics business to FF EAI Robotics Ecosystem Inc. (FFR), a Nasdaq-listed entity formerly known as AIxCrypto Holdings. The transaction, valued at approximately $200 million, is structured as an all-stock acquisition.

Under the Transaction Agreement, FFR will acquire the robotics assets, intellectual property, and employees from FFAI. In exchange, FFR will issue 1,317,949 shares of common stock and 65,427 shares of newly designated non-voting convertible preferred stock to FFAI. The issuance price is set at $2.246 per share, representing a premium of approximately 50% to FFR’s closing price on the signing date of October 12, 2026.

Following the closing, FFR is expected to become the first U.S.-listed pure-play "Four-Core Full-Stack AI" humanoid and bionic robotics ecosystem company. FFAI will retain a controlling interest in FFR, holding approximately 65.7% of the shares on a fully diluted basis. The remaining shares will be held by management and employees (approximately 18.2%), PIPE investors (approximately 5.5%), and other public stockholders (approximately 10.7%).

FFR has secured up to $10 million in first-round PIPE financing priced at market with no discount or warrants. FFAI management projects that the robotics business will generate approximately $7 million in revenue in 2026 and $45 million in 2027, with gross margins increasing from 10% in 2026 to 30.5% in 2027. The parties anticipate the transaction will close by the end of October 2026.
