EVI Industries, Inc. has amended two agreements related to the acquisition of Sudsies, Inc., a Miami-based garment care business. The amendments, dated August 31, 2026, were entered into by EVI, its subsidiary Garment Care Services FL, LLC, and the seller group, including the Jason Loeb Family Trust, the Jorge Baboun and Michelle Zambelli Baboun Inter Vivos Declaration of Trust, Jason Loeb, Jorge Baboun, Shmuel Rudski, and JLOJB On-Site, LLC.
The first amendment, to the Asset Purchase Agreement, adjusts the purchase price for the assets of Sudsies On-Site. Originally set at $800,000 in cash and $100,000 in shares of common stock, the total consideration of $900,000 will now be paid entirely in cash.
The second amendment modifies the Agreement for the Purchase of Personal Goodwill. Originally valued at $6,624,778 in cash and $500,000 in common stock, the total purchase price of $7,124,778 will now be paid entirely in cash.
The company also disclosed that following the closing of the transactions on September 1, 2026, it paid approximately $1.9 million to lessors for vehicles transferred to the buyers and reimbursed Jason Loeb $860,000 for cash bonuses paid to Sudsies employees prior to the closing.
