Evercore Inc. announced on October 16, 2026, that its Board of Directors has appointed Nigel Dawn and Naveen Nataraj as Co-Presidents of the firm, effective January 1, 2027. Both executives will report to John S. Weinberg, who will continue to serve as Chairman and Chief Executive Officer. The Company stated that Mr. Weinberg has agreed to remain in his leadership role for at least the next three years.

Nigel Dawn, age 62, is currently the Global Head of Evercore’s Private Capital Advisory group. He has led the development of this market-leading business, which has teams in the United States, Europe, and Singapore. In his new role, Mr. Dawn will become Chairman of the Private Capital Advisory group while remaining closely connected to the business and its clients.

Naveen Nataraj, age 51, currently serves as Co-Head of U.S. Investment Banking and is a member of the firm’s Management Committee. During his tenure, he has advised some of the firm’s most important clients on transactions across a broad range of industries. Under the new structure, Mr. Nataraj will continue to advise clients and remain actively engaged in the Investment Banking business.

In connection with these appointments, the Compensation Committee approved a one-time award of Performance Restricted Stock Units (“PRSUs”) to each executive. The target value of the award for both Mr. Dawn and Mr. Nataraj is $20 million. The number of PRSUs earned will be determined based on the achievement of operating income goals and relative total shareholder return over a three-year performance period beginning on the Effective Date. The earned PRSUs will cliff-vest on the fifth anniversary of the Effective Date, subject to continued employment with the Company.

The Company noted that the Awards were designed in consultation with an independent compensation consultant to align the long-term interests of the executives with those of the Company’s shareholders and to provide enhanced retention capabilities.
