EOG Resources, Inc. announced a leadership transition in its finance department, effective January 1, 2027. Ann D. Janssen, the company’s Executive Vice President and Chief Financial Officer, has informed the Board of Directors of her decision to retire. Ms. Janssen will serve as CFO until December 31, 2026, after which she will become an advisor to the company. Ms. Janssen has been with EOG since 1995 and has held the CFO position since January 2024.

Jeffrey W. Hibbard, 44, has been appointed to succeed Ms. Janssen as Executive Vice President and Chief Financial Officer. Mr. Hibbard has served as EOG’s Senior Vice President, Finance since August 2025. Prior to joining EOG, he worked for Morgan Stanley for over 20 years, most recently as a Managing Director in the Global Energy Group.

Separately, the company’s Compensation and Human Resources Committee approved amendments to executive compensation structures. Effective September 25, 2026, the vesting schedule for future grants of restricted stock and restricted stock units (RSUs) was changed from a three-year cliff vesting to a three-year ratable vesting schedule, with one-third of the awards vesting each year. The committee also amended the form of award agreement for performance units. Under the new terms, if the company’s total shareholder return (TSR) over a three-year period is negative, the portion of the performance multiple exceeding target will be reduced by 50%. Additionally, the committee updated the list of peer companies used to calculate performance metrics.
