Envoy Medical, Inc. has announced and executed a 1-for-10 reverse stock split of its Class A common stock. The split became effective on October 26, 2026, at 12:01 a.m. Eastern Time. As a result, every 10 shares of issued and outstanding common stock were automatically combined into one share. The company’s common stock began trading on a post-split basis on the Nasdaq Capital Market at the market open on October 26, 2026, under the ticker symbol “COCH.” The new post-split CUSIP number is 29415V307.
The reverse stock split was authorized by the company’s stockholders at a special meeting held on October 12, 2026. The board of directors subsequently determined to effect the split at a ratio of 1-for-10, which falls within the previously approved range of not less than 1-for-5 and not more than 1-for-25.
Envoy Medical stated that the reverse split is intended to maintain compliance with the $1.00 minimum bid price requirement for continued listing on Nasdaq. The company also noted that the split may improve trading liquidity by increasing the price per share, which could enable a broader range of institutions to invest.
The split did not affect the par value of the common stock or the number of authorized shares. No fractional shares were issued; instead, stockholders who would have received a fractional share received a cash payment in lieu of that share. Additionally, the exercise prices of outstanding warrants and other convertible securities were proportionately adjusted, as were the number of shares subject to those instruments. Equitable adjustments were also made to the number of shares available under the company’s stock incentive and compensation plans.
