Enova International, Inc. filed a Current Report on Form 8-K on September 9, 2026, to announce a proposed private offering of $500,026,000 in aggregate principal amount of Series 2026-1 Fixed Rate Asset-Backed Notes (the “Offered Notes”). The notes are to be issued by OnDeck Asset Securitization IV, LLC, a wholly-owned indirect subsidiary of Enova. The collateral for the notes will consist of a revolving pool of small business loans originated or purchased by ODK Capital, LLC, a subsidiary known as OnDeck.

The company stated that the Issuer will use the net proceeds from the offering to purchase small business loans from OnDeck that will be pledged as collateral. Enova will use the funds it receives from the Issuer for general corporate purposes. The notes are not obligations of, or guaranteed by, Enova or OnDeck. They are being offered only to qualified institutional buyers under Rule 144A and to persons outside the United States pursuant to Regulation S.

The filing also includes supplemental historic loan performance data (Exhibit 99.1) intended for informational meetings with potential purchasers of the notes. This Supplemental Data covers a specific subset of OnDeck’s daily, weekly, and monthly pay U.S. term loans and lines of credit. The data includes loans with an original term of 24 months or less and a minimum loan yield of at least 10%.

The Supplemental Data provides historical delinquency experience measured by a “missed payment factor” rather than calendar days past due. It also includes static pool net charge-off data and annualized net charge-off rates for term loans and lines of credit. The tables in the exhibit show the number of loans outstanding and aggregate unpaid principal balances as of July 31, 2026, and December 31 of previous years. For example, as of July 31, 2026, there were 24,276 term loans outstanding with an aggregate unpaid principal balance of $1.75 billion.
