Enhanced Group Inc. (NYSE: ENHA) announced significant changes to its Board of Directors on September 17, 2026. The Company reported the resignations of James J. Murren and Christian Angermayer, both of whom stepped down from the Board and, in Mr. Angermayer's case, the Chairman role. The Company stated that neither resignation was the result of a disagreement regarding operations, policies, or practices.
Effective immediately following these resignations, the Board appointed Michael Sepso to fill a vacancy. Mr. Sepso, age 54, is a veteran of the esports and gaming industry with over 20 years of experience, including co-founding Major League Gaming and serving as Chief Strategy Officer of ESL FACEIT Group. He has been appointed to the Board’s Audit Committee.
In other leadership changes, James Simpson was appointed Chairman of the Board, and Anthony D. Eisenberg was appointed Chair of the Audit Committee. Mr. Eisenberg, an existing independent director, has been designated as an "audit committee financial expert" under Regulation S-K. The Audit Committee now consists of Mr. Eisenberg, Juliette Han, and Michael Sepso.
Regarding compensation, the Board approved a Non-Employee Director Compensation Program on September 22, 2026, effective May 8, 2026. Under this program, each non-employee director is entitled to an annual cash retainer of $50,000. Directors serving on committees receive additional retainers, including $20,000 for the Audit Committee chair and $10,000 for each other member. The Audit Committee chair also receives an additional $55,000 annual retainer.
Equity compensation is also provided, with each non-employee director eligible for an annual RSU award valued at $185,000. Directors appointed following the Company's business combination and initial listing on the NYSE are eligible for an initial equity award valued at $370,000. The Program caps the aggregate value of cash and equity compensation for any non-employee director at $750,000 per fiscal year, or $1,000,000 for a director's initial year of appointment.
Mr. Sepso’s specific compensation package includes an initial RSU award valued at $370,000, vesting in three equal annual installments, and an annual RSU award valued at $185,000 beginning with the next annual shareholder meeting. Mr. Murren and Mr. Angermayer will continue to support the Company in ongoing advisory roles, with Mr. Murren serving as Special Advisor to the Chief Executive Officer.
