The Elmet Group Co. has entered into a definitive warrant purchase agreement with Blue Moon Metals Inc. The agreement, dated September 21, 2026, was executed pursuant to a binding letter agreement previously disclosed on September 11, 2026.
Under the terms of the Purchase Agreement, Elmet agreed to issue and sell an unregistered warrant to Blue Moon. This warrant allows Blue Moon to purchase up to 1,166,970 shares of the Company’s common stock. The shares have a par value of $0.001 per share.
The warrant has an exercise price of $21.423 per share, subject to adjustment over time. It is exercisable at any time and in whole or in part, beginning six months from the date of issuance and expiring three years from that date. The warrant includes a beneficial ownership limitation, preventing the holder from exercising it if doing so would cause their ownership to exceed 4.99% of the outstanding shares, a percentage which may be increased to 19.99% at the holder's election.
The issuance of the warrant is exempt from registration under the Securities Act of 1933. The Company and Blue Moon have agreed to provide customary indemnification under the Purchase Agreement.
