Dogwood Therapeutics, Inc. (Nasdaq: DWTX) announced on October 19, 2026, that it entered into a subscription agreement with Sealbond Limited to raise approximately $5 million in gross proceeds. Sealbond, identified as a subsidiary of CK Life Sciences Int’l., (Holdings) Inc., is the Company’s largest shareholder and beneficially owns approximately 63.9% of the outstanding common stock prior to this transaction.

Under the terms of the agreement, Dogwood will issue 4,098,360 shares of common stock at a price of $1.22 per share. The private placement is expected to close on or prior to October 29, 2026. The shares are being sold in reliance on an exemption from registration under Section 4(a)(2) of the Securities Act of 1933 and Regulation D.

The Company intends to use the net proceeds to fund Phase 3 preparatory activities for its lead candidate, Halneuron®, and for working capital and general corporate purposes. This funding is intended to extend the Company’s operational runway through March 2027.

Dogwood is currently advancing the Halneuron® Phase 2b Chemotherapy Induced Neuropathic Pain (CINP) trial. The study, known as HAL-CINP (NCT06848348), is evaluating the efficacy and safety of Halneuron® compared to placebo in 239 patients. The primary endpoint is the change from baseline to week four in daily pain intensity scores. The Company anticipates reporting topline data from this trial in November 2026.

In addition to the private placement, the Company entered into a Registration Rights Agreement with Sealbond. This agreement requires Dogwood to file a registration statement with the SEC to allow for the resale of the issued shares no later than 15 days after the agreement date.
