Direct Digital Holdings, Inc. has announced its intention to voluntarily withdraw its Class A common stock from listing on The Nasdaq Stock Market LLC and to deregister the shares with the U.S. Securities and Exchange Commission (SEC). The company provided written notice to Nasdaq on October 21, 2026, citing a determination from Nasdaq that it failed to comply with Listing Rule 5550(b)(1).
Trading of the company's Class A common stock has been suspended on Nasdaq since October 5, 2026. The company intends to file a Form 25 with the SEC on or about November 2, 2026. Following this filing, the delisting is expected to become effective ten days later, on or about November 12, 2026.
Direct Digital Holdings also plans to file a Form 15 with the SEC to suspend its reporting obligations under the Exchange Act. The company expects that the deregistration of its securities will become effective 90 days after the filing of the Form 15.
The decision to withdraw the listing was authorized by the company’s board of directors on October 20, 2026. The board cited several factors in its determination, including the suspension of trading on Nasdaq, the substantial costs associated with maintaining public company registration, and the limited benefits of continued listing given the current trading environment.
Currently, the Class A common stock is quoted on the OTC Markets under the symbol “DRCT” on the OTC Pink “Limited Information” tier. The company expects the stock to continue to be quoted following the delisting. However, the company noted there can be no assurance that a market for the shares will be maintained on the OTC Markets system.
