Dine Brands Global, Inc. (NYSE: DIN) announced on October 28, 2026, that its board of directors unanimously adopted a limited-duration stockholder rights agreement. The company stated the decision was made in response to media reports regarding a significant open market accumulation of Dine Brands’ stock and derivatives.
Under the agreement, the company will issue a dividend of one preferred share purchase right for each outstanding share of common stock. The rights will be distributed to stockholders of record as of the close of business on November 9, 2026. Initially, these rights will not be exercisable and will trade alongside the common stock.
The Rights Agreement is designed to reduce the likelihood that an individual or group could gain control of the company without paying all stockholders an appropriate control premium. It provides the board with time to make informed judgments regarding the best interests of all stockholders.
The agreement defines an “Acquiring Person” as a person or group beneficially owning a specific percentage of outstanding shares. The “Specified Percentage” is 20% for passive investors and 10% for non-passive investors. If a person or group acquires this threshold without board approval, the rights become exercisable.
Should a “Flip-in Event” occur, where an unapproved person or group becomes an Acquiring Person, each holder of a right (other than the Acquiring Person) will be entitled to purchase common stock at a 50% discount to the then-current market price. Additionally, in a “Flip-over Event,” such as a merger or sale of assets where the company is not the surviving entity, holders of rights would be entitled to purchase shares of the acquiring company at a 50% discount.
The Rights Agreement is set to expire on October 27, 2027, or earlier if the rights are redeemed or exchanged by the company. The board retains the option to redeem the rights at $0.001 per right at any time. Stockholders are not required to take any action at this time.
