Digital Realty Trust, Inc. has entered into a definitive agreement to issue €1,000,000,000 in aggregate principal amount of 5.125% Guaranteed Notes due 2036. The notes, denominated in Euros, were issued on October 9, 2026, by Digital Euro Finco, LLC, a wholly owned indirect finance subsidiary of the company's operating partnership.
The notes are senior unsecured obligations of Digital Euro Finco, LLC and are fully and unconditionally guaranteed by Digital Realty Trust, Inc. and the operating partnership. The offering was conducted outside the United States under Regulation S of the Securities Act of 1933. The notes were sold at a purchase price of 99.289% of their principal amount.
Net proceeds from the offering, after deducting managers' discounts and estimated offering expenses, were approximately €985.8 million. The company intends to allocate these funds to finance or refinance Eligible Green Projects, which include renewable energy, energy efficiency, pollution prevention, and climate change adaptation initiatives. Pending the allocation of these funds, the company may use the proceeds to temporarily repay borrowings under its revolving credit facilities, acquire additional properties, fund development opportunities, or for general corporate purposes.
The notes bear interest at a rate of 5.125% per annum and mature on October 9, 2036. Interest payments are due annually on October 9, beginning in 2027. The notes are governed by an indenture dated October 9, 2026, with Deutsche Trustee Company Limited as trustee and Deutsche Bank AG, London Branch, as paying agent and transfer agent.
