DarkHorse Technologies Inc. has completed a corporate restructuring that includes a name change and a shift in state of incorporation. Effective September 16, 2026, the company completed a continuance from the Province of Ontario to the Province of British Columbia. As a result of this change, the company ceased to be governed by the Business Corporations Act (Ontario) and is now governed by the Business Corporations Act (British Columbia).
The company, formerly known as Sphere 3D Corp., adopted new Notice of Articles and Articles under the British Columbia legislation to replace its previous governing documents. Shareholders approved the continuance and the name change at a special meeting held on August 24, 2026.
In connection with the name change, the company’s common shares began trading on the Nasdaq Capital Market under the new ticker symbol “DRK” at the market open on September 17, 2026. Until that time, shares continued to trade under the symbol “ANY.” The company’s common shares have also been assigned a new CUSIP number, 236918108, replacing the prior CUSIP number, 84841L506.
The company’s management stated that the rebrand reflects a strategic shift toward a more focused infrastructure platform centered on power-ready, distribution-connected sites in Tennessee and Kentucky. The company intends to concentrate on smaller footprint sites that can be advanced efficiently through modular development. The company also noted that it has agreements to divest its Iowa site and legacy mining fleet as part of this strategic review.
As of the press release, the company expects to own and/or operate approximately 50 MW of operating power capacity across four data center locations in Tennessee and Kentucky. It also has a proposed new 50 MW data center under development in Kentucky and a development pipeline of approximately 100 MW of additional potential expansion opportunities.
