Cyber Enviro-Tech, Inc. entered into Amendment No. 2 to its Equity Purchase Agreement with Monroe Street Capital Partners, LP on October 14, 2026. The amendment modifies how the purchase price for shares sold under the agreement is calculated, specifically changing the reference point from the lowest traded price to the end-of-day volume-weighted average price (EOD VWAP).

Under the original agreement, the Company has the right, but not the obligation, to sell up to $30,000,000 of its common stock to the Investor through put notices. The purchase price for shares sold under a put is the lesser of the Initial Purchase Price and the Market Price, subject to an 85% factor, which represents a 15% discount. Amendment No. 2 updates the definitions of these terms to use EOD VWAP. Specifically, the Initial Purchase Price is now defined as 85% of the EOD VWAP on the trading day immediately preceding the put date, and the Market Price is defined as 85% of the lowest EOD VWAP during the valuation period.

The amendment applies only to puts with a put date on or after October 14, 2026. Any puts with earlier dates remain governed by the terms in effect at that time. The document also references Amendment No. 1, which was executed on August 6, 2026, to reduce the minimum put amount to facilitate the Company’s ability to deliver a put notice. Both amendments are filed as exhibits to this report.
