Cuentas, Inc. has entered into an Amended and Restated Warrant Agency Agreement with Olde Monmouth Stock Transfer Co., Inc. as the Warrant Agent. The filing, dated September 30, 2026, confirms that the agreement amends the original Warrant Agency Agreement dated February 1, 2021.

The primary modification disclosed is the extension of the expiration date for the Company’s outstanding publicly traded Warrants. Originally set to expire on September 30, 2026, the Warrants now expire on December 31, 2026. As of and after this new Extended Expiration Date, the Warrants may no longer be exercised.

The filing notes that the terms of the Warrants remain unmodified and in full force and effect, with the exception of the expiration date. Additionally, the agreement grants the Company’s Board of Directors the discretion to voluntarily reduce the exercise price of the Warrants and proportionately increase the number of shares of Common Stock purchasable upon exercise at the reduced price.

The Warrants were originally issued as part of an underwritten offering of the Company’s units in February 2021. Each unit consisted of one share of Common Stock and one Warrant. The exercise price of the Warrants was initially $4.30 per share but increased to $55.90 following a one-for-thirteen reverse stock split completed on March 24, 2023.

The Company has applied to have its Common Stock and Warrants listed on the OTCQB market. The Company has also restructured its business and entered into transactions as part of a joint venture with World Mobile, LLC and World Mobile Media Group, LLC.
