Cronos Group Inc. has amended the agreement to acquire CanAdelaar B.V., a licensed cannabis grower in the Netherlands. The amendment, entered into on September 8, 2026, extends the deadline for the transaction.
Under the original Share Sale and Purchase Agreement, dated December 9, 2025, Cronos Group Inc. (through its subsidiary CGM B.V.) agreed to acquire all issued and outstanding shares of CanAdelaar. The transaction involves the acquisition of CanAdelaar, one of ten licensed cannabis growers participating in the Dutch Controlled Cannabis Supply Chain Experiment.
The Second SPA Amendment, filed as Exhibit 2.1 to this report, modifies the Long Stop Date. The Long Stop Date has been moved from September 9, 2026, to October 15, 2026. The amendment indicates that the original agreement remains in full force and effect, subject to the specific terms of the amendment.
The parties to the agreement are Cronos Group Inc., its indirect wholly-owned subsidiary CGM B.V., Ring International Holding AG, and Landewyck Tobacco S.A.
