Corteva, Inc. announced on September 30, 2026, that Vylor Inc., a wholly owned subsidiary, has extended the expiration date for private exchange offers and related consent solicitations regarding EIDP, Inc. senior notes. The new expiration time is set for 5:00 p.m., New York City time, on September 30, 2026, extending the previous deadline of September 29, 2026.
The exchange offers allow eligible holders to tender outstanding EIDP, Inc. senior notes for newly issued Vylor Inc. notes. The offers are contingent upon the completion of Corteva’s planned separation into two independent, publicly traded companies. As of the previous deadline, the aggregate principal amounts tendered were as follows:
- 2.300% Senior Notes due 2030: $434,841,000 (86.97% of the outstanding $500,000,000)
- 5.125% Senior Notes due 2032: $476,214,000 (95.24% of the outstanding $500,000,000)
- 4.800% Senior Notes due 2033: $527,584,000 (87.93% of the outstanding $600,000,000)
Vylor has also received the requisite consents to adopt proposed amendments to the indentures governing the EIDP Notes. These amendments are expected to become operative upon the settlement of the exchange offers, which is anticipated to occur on or about the first business day following the expiration date, coinciding with the Separation.
