Copley Acquisition Corp announced on October 29, 2026, that its Extraordinary General Meeting of shareholders has been adjourned from October 29 to November 2, 2026. The meeting will be held in person at the offices of Winston Taylor LLP in Houston, Texas, and virtually via a webcast. Shareholders will be asked to approve two amendments to the Company’s governing documents. The first amendment would extend the deadline for the Company to complete an initial business combination by up to 12 one-month extensions, moving the final deadline from November 2, 2026, to November 2, 2027. The second amendment would modify the investment management trust agreement to permit these extensions.

In connection with the extension, the Company’s Sponsor, Copley Acquisition Sponsors, LLC, has agreed to increase its contribution to the trust account. Originally, the Sponsor agreed to contribute $150,000 for each one-month extension. The revised contribution amount is $200,000 for each one-month extension during the Extension Period.

The Company also announced waivers regarding the trust account. It has waived the right to withdraw up to $100,000 of interest from the trust account to pay dissolution expenses and waived the right to withdraw interest to pay tax expenses. These funds will remain in the trust account until the earlier of the completion of the initial business combination or the redemption of Public Shares.
