ConnectM Technology Solutions, Inc. has amended the maturity terms of its Senior Secured Convertible Promissory Notes in a filing dated October 27, 2026. The amendment, labeled Amendment No. 2, was executed between ConnectM and Ascent Partners Fund LLC, a Delaware limited liability company.

The amendment modifies the maturity date for the Company's outstanding Amended Notes, which include Note Two-A and Note Two-B. Previously, the maturity date was set to automatically accelerate on the thirtieth day following the Lock-Up Termination Date. Under the new terms, the maturity date will instead automatically accelerate on the ninetieth day following the Lock-Up Termination Date.

The amendment becomes effective on the later of October 27, 2026, or the date of payment for all obligations due prior to the effective date, including costs and fees. If the effective date has not occurred within two business days of October 27, 2026, Ascent Partners Fund LLC has the right to terminate the amendment at its sole discretion.

In connection with the agreement, ConnectM reaffirmed its obligations under the Guaranty and other Transaction Documents, which continue to secure the Obligations. The Company also granted a general release of claims in favor of the Purchaser. The amendment does not waive or modify any Defaults or Events of Default, nor does it obligate the Purchaser to make further purchases or advances.
