Conexeu Sciences Inc. has announced a warrant inducement program approved by its Board of Directors on October 21, 2026. The program is designed to encourage holders of existing warrants to exercise their holdings before a specified deadline. The company reported that as of October 21, 2026, there were outstanding warrants to purchase up to 4,762,780 shares of common stock, with an exercise price of $2.30 per share and expiry dates ranging from February 11, 2029, to June 18, 2029.
Under the terms of the Inducement Program, holders who exercise their existing warrants prior to 4:00 p.m. (Reno, Nevada time) on April 30, 2027, will be eligible to receive one inducement warrant for each warrant exercised. These inducement warrants can be purchased for $0.001 each. Each inducement warrant entitles the holder to purchase one additional share of common stock at an exercise price of $3.00 per share for a period of 24 months from the date of issuance.
The company has implemented a share cap on the number of inducement warrant shares that may be issued. The cap is set at 2,563,389 shares, which is calculated to ensure that the total number of shares issued from the recent $3.00 Unit/Special Warrant private placement, together with the capped inducement shares, does not exceed 20% of the outstanding shares of common stock as of the date of the private placement approval. The cap applies on a first-to-exercise basis until the company receives stockholder approval for the issuance of 20% or more of its outstanding shares.
Conexeu Sciences Inc. has agreed to register for resale on a Form S-1 registration statement the shares of common stock received from the exercise of existing warrants. Additionally, the company has noted that certain holders of existing warrants are parties to voluntary pooling agreements, and the new securities issued under the inducement program will be subject to these agreements.
