Cognex Corporation announced on September 22, 2026, that it has entered into a definitive agreement to acquire RealSense, Inc. The transaction is an all-cash deal valued at approximately $500 million, subject to customary adjustments. The acquisition is expected to be completed during the fourth quarter of 2026, contingent upon the satisfaction of standard closing conditions.
RealSense, a leader in depth-sensing cameras and vision technology for robotic perception, was originally founded by Intel in 2014 and spun out in 2025. The company is headquartered in Cupertino, California. The deal is intended to expand Cognex’s served market opportunity by adding exposure to the robotic perception sector, which the company estimates is currently valued at $600 million and is projected to grow more than 25% annually to approximately $1.6 billion by 2030.
Under the terms of the agreement, the purchase price will be funded entirely from Cognex’s existing cash and investments on its balance sheet. Additionally, Cognex plans to provide retention incentives to RealSense employees. These include a three-year cash retention program with a target value of $56.5 million, subject to performance modifiers, and the grant of restricted stock units (RSUs) valued at approximately $50 million under Cognex’s 2023 Stock Option and Incentive Plan. The RSUs are expected to vest over a three-year period, with approximately 20% vesting on the first anniversary, 30% on the second, and 50% on the third.
Before the transaction closes, RealSense will spin out its Facial Authentication product line into an independent company. Evercore served as the financial advisor to Cognex on the transaction. Cognex management is scheduled to host a conference call on September 22, 2026, at 8:00 a.m. ET to discuss the acquisition.
