CNS Pharmaceuticals, Inc. held its 2026 Annual Meeting of Stockholders on September 30, 2026. As of the record date of August 10, 2026, there were 1,461,449 shares of common stock issued and outstanding and entitled to vote. A quorum was established with 668,188 shares, representing 45.72% of the outstanding shares, present in person or by proxy.

The stockholders approved several proposals at the meeting. In Proposal 1, the company’s stockholders elected Faith Charles, Bettina Cockroft, Michal Fisher, Jeffrey Keyes, Rami Levin, and Amy Mahery as directors of the Company until the 2027 Annual Meeting. Proposal 3, an advisory vote on executive compensation, was approved with 98,103 votes For and 6,682 votes Against.

Proposal 4, an amendment to the 2020 Equity Plan, was approved by the stockholders. The amendment includes an increase in the number of shares of common stock, par value $0.001 per share, authorized for issuance under the 2020 Plan by 650,000 shares. As amended, the total number of shares that may be issued under the 2020 Plan is 765,061 shares. The amendment received 96,953 votes For and 8,128 votes Against.

Finally, Proposal 5 authorized the adjournment of the Annual Meeting if necessary to secure additional proxies for pending proposals. This motion received 622,421 votes For and 45,635 votes Against.
