Churchill Capital Corp XI (CCXI) has announced that its shareholders have approved the previously announced business combination with Agility Robotics, Inc. The transaction was approved at an extraordinary general meeting held on November 2, 2026. According to the results, more than 84% of votes cast supported the transaction. Shareholders also approved the domestication of Churchill from the Cayman Islands to the State of Delaware. Upon completion of the domestication, the combined entity will be renamed Agility Robotics, Inc., and existing shareholders will hold shares of common stock in the Delaware corporation.

Regarding the financial structure of the deal, approximately $261.8 million is expected to be removed from Churchill’s trust account to pay for share redemptions. This results in a total expected gross capital raise of approximately $465.1 million before transaction expenses. This capital is composed of approximately $164.1 million from Churchill’s trust account, approximately $201.0 million from a private placement investment (PIPE) committed at $10 per share, and $100 million of equity funding already received following the announcement of the business combination.

The business combination is expected to close on November 4, 2026, subject to the satisfaction of closing conditions. Following the closing, the combined company’s common stock and warrants are expected to begin trading on the Nasdaq Stock Market under the ticker symbols “AGLT” and “AGLTW,” respectively, on November 5, 2026.
