Chaince Digital Holdings Inc. (Nasdaq: CD) has permanently canceled all outstanding warrants issued in a private placement held by specific investors. The company entered into a Warrant Repurchase Cancellation and Release Agreement on September 21, 2026, with the holders of warrants from a private placement completed on November 30, 2023. The transaction closed on the same day.
Under the terms of the agreement, the company repurchased the warrants for an aggregate cash consideration of $2.0 million. No ordinary shares were issued in this transaction, and none of the warrants had been previously exercised. Following the cancellation, the company has no warrants outstanding and no remaining contractual obligation to issue or reserve shares under those agreements.
The company stated that the holders also released the company and related persons from claims arising from the warrants. In a press release, Chief Executive Officer Shi Qiu noted that the transaction represents a disciplined use of capital, resulting in a capitalization structure without warrants, which the company believes is more straightforward for shareholders to evaluate.
